Terms of Service

These Terms of Service (“Terms”) govern your access to and use of NativeIQ (the “Service”), a Spanish-language learning platform that connects learners with tutors and provides lessons, exercises, and AI-assisted practice. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with the involvement and consent of a parent or legal guardian. By using the Service you represent that you meet these requirements.
2. Your Account
You are responsible for the information you provide and for all activity that occurs under your account. Keep your password confidential and notify us promptly at hello@nativeiq.org if you believe your account has been compromised. You may not share your account or impersonate anyone else.
3. Subscriptions, Billing, and Refunds
NativeIQ offers free and paid subscription plans. Paid plans are billed in advance on a monthly or annual basis through our payment processor, Stripe. By starting a paid plan you authorize us to charge your payment method on a recurring basis until you cancel.
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You can cancel at any time from your account settings; your paid access continues until the end of the current billing period. Except where required by law, payments are non-refundable and partial periods are not prorated on cancellation. Promotional pricing, free trials, and launch incentives apply only as described at the time of the offer.
4. Tutors and Learners
The Service lets learners connect with tutors. Tutors are independent users, not employees or agents of NativeIQ. We do not guarantee the qualifications, conduct, or results of any tutor or learner, and we are not a party to any arrangement made between them. Tutors and learners agree to interact respectfully and lawfully, and to use the Service’s tools (such as session logs, custom lessons, and teaching codes) only for legitimate teaching and learning.
5. Your Content
You retain ownership of the content you submit, such as journal entries, messages, and profile information (“User Content”). You grant NativeIQ a non-exclusive, worldwide license to host, store, process, and display your User Content solely to operate and improve the Service for you. You are responsible for your User Content and confirm you have the rights to submit it.
6. AI-Assisted Features
The Service includes AI-assisted features, including conversation practice, feedback, and journal insights, powered by third-party AI providers. AI output may be inaccurate or incomplete and is provided for language-learning purposes only. It is not professional, legal, medical, or financial advice. Do not rely on AI output as a substitute for qualified human judgment.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful, harmful, or abusive purpose;
- Harass, threaten, or harm other users, including tutors and learners;
- Attempt to access accounts, data, or systems you are not authorized to access;
- Reverse engineer, scrape, or disrupt the Service or its infrastructure;
- Upload malicious code or content that infringes the rights of others.
8. Intellectual Property
The Service, including its lessons, exercises, software, design, and trademarks, is owned by NativeIQ or its licensors and is protected by intellectual-property laws. We grant you a limited, personal, non-transferable license to use the Service for its intended purpose. All rights not expressly granted are reserved.
9. Third-Party Services
The Service relies on third-party providers, including Stripe for payments, Supabase for data hosting, and AI providers for assisted features. Your use of those features may also be subject to the providers’ own terms. We are not responsible for third-party services we do not control.
10. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any learning outcome will be achieved.
11. Limitation of Liability
To the fullest extent permitted by law, NativeIQ and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or USD $100.
12. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access if you violate these Terms or to protect the Service or its users. On termination, the licenses you granted continue only as needed for backups, legal compliance, and the wind-down of the Service.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.
14. Governing Law
These Terms are governed by the laws of the United States and the state in which NativeIQ is established, without regard to conflict-of-law rules. Any disputes will be resolved in the courts located there, unless applicable law requires otherwise.
